The Company is a B2B manufacturer headquartered in the United States with operations in North and South America, as well as operations in Europe and APAC. The Deputy General Counsel, Americas reports to the EVP, General Counsel & Corporate Secretary. This corporate generalist position will be a leader to the legal function in the Americas and have exposure to all facets of the Company’s business, working with Company personnel at all levels in the Americas and in some cases globally. Responsibilities include, among other things, providing legal guidance on commercial, operations, compliance, governance, employment, litigation, regulatory and intellectual property matters. The role will require moderate travel, primarily in the Americas. The position is anticipated to have 2-3 direct reports, including one attorney.

Responsibilities

  • Provide legal counsel and guidance to the Company’s business, especially to supply chain, commercial, human resources, IT and operations, on a wide range of business and strategic matters.
  • Provide legal support for major legal specializations such as acquisitions and mergers, litigation, data protection/privacy, credit refinancing, corporate governance, and/or taxation planning, as assigned.
  • Assist the EVP, General Counsel & Corporate Secretary in providing advice and counsel on select strategic initiatives.
  • Prepare and conduct training for employees on legal and compliance issues.
  • Advise and render opinions to senior management with respect to the legal implications of establishing or changing Company policy and procedures and work with representatives from various departments and functions on developing and modifying practices and procedures to conform with legal requirements.
  • Draft, review, and revise a variety of legal instruments and documents or contracts involving the Company’s interests or the interests of customers to ensure proposed documents accurately protect the Company.
  • Negotiate contracts and other legal issues and claims on behalf of the Company.
  • Keep informed on legislation affecting the business of the Company and apprise management of recent court decisions, law changes and pending litigation affecting the Company.
  • Cooperate and work collaboratively with the Legal team members and with cross-functional teams.
  • Manage Company litigation and act as liaison with outside legal counsel to ensure effective representation of the Company’s interests

Qualifications

  • 10+ years of in-house counsel experience or a combination of commercial law firm and inhouse counsel experience
  • Active bar membership in one or more states
  • Fluent in English; additional language proficiency in Spanish preferred
  • General corporate and commercial contracts experience (including negotiation and drafting)
  • Experience advising senior business executives or corporate clients
  • Experience managing outside counsel or third-party legal service providers
  • Experience supervising employees
  • Experience in one or more of the following practice areas are beneficial:
    • Mergers and acquisitions
    • Intellectual Property (primarily IP licensing, joint development agreements and terms of use)
    • Labor and employment law
    • General corporate matters
    • Compliance
    • Litigation management
    • Corporate governance
    • Antitrust
    • Trade compliance
    • Data protection/privacy
    • Regulatory and corporate compliance
    • SEC/NYSE compliance
